Keldio Enterprise — Offer Terms
Document version: 2026-10-13 Last updated: 13 October 2026 Effective date: 13 October 2026, for purchases of Keldio Enterprise made on or after that date
These Offer Terms are the order-form schedule for Keldio Enterprise (the "Enterprise Service"). They are a separate section of the Keldio Legal Terms. They set out what the Enterprise Service includes, the requirements for your computer, your responsibilities, the limits of our support, the costs of AI models, remote access, liability, and the rules on the subscription, the notice period, and refunds. They apply together with the Keldio Platform Terms of Service (the "Platform Terms"), the Acceptable Use Policy, the Privacy Policy, and, where applicable, the Data Processing Agreement (the "DPA"). By accepting the Keldio Legal Terms at checkout, you accept these Offer Terms. If these Offer Terms conflict with the Platform Terms or another Keldio document on a matter concerning the Enterprise Service, these Offer Terms prevail, except that nothing in these Offer Terms reduces the protection of personal data under the DPA. Capitalised terms not defined here have the meaning given in the Platform Terms.
The seller of the Enterprise Service is Keldio, the operator identified in section 1 of the Platform Terms. For this purchase, Keldio is the seller and merchant of record.
1. Who can buy Keldio Enterprise
The Enterprise Service is offered only to businesses and professionals who buy it for their business or profession. By completing the checkout, you confirm that you buy the Enterprise Service for your business or profession and that you are authorised to bind the business named at checkout. Section 19 explains the rights that apply if mandatory consumer law nevertheless applies to you.
2. Definitions
In these Offer Terms:
- Agent Software means the third-party AI agent software, with its supporting tools and configuration, that Keldio installs, configures, and maintains on the Machine and connects to your Keldio Workspace. Keldio does not make the AI agent software itself; Keldio installs, configures, and maintains it for you. The Agent Software does not include the Machine, its operating system, other software on the Machine, AI Models, or your accounts with third parties.
- Machine means the one computer that you make available for the installation of the Agent Software.
- AI Model means an artificial-intelligence model or service of a third party (an AI Provider), such as the models of OpenAI or Anthropic, that the Agent Software uses to work.
- Third-Party Services means software, services, platforms, and accounts of third parties, including the Machine's operating system, AI Models, email, calendar, messaging, and social-media accounts, and any other service that you connect to or use with the Agent Software.
3. What Keldio Enterprise includes
3.1 Installation. Keldio installs the Agent Software on one (1) Machine that meets the requirements in section 5, configures it for use, connects it to your Keldio Workspace, and connects it to the AI Model account and the Third-Party Services that you provide (sections 8 and 9). Keldio schedules the installation with you after your first payment. Keldio does not guarantee an installation date. The installation requires your cooperation: the Machine must be available, switched on, connected to the internet, and accessible to Keldio, and you must provide the information, accounts, and login details that Keldio asks for. A delay on your side does not postpone or suspend your subscription or your payment obligations.
3.2 Remote maintenance. For as long as your subscription runs, Keldio maintains the Agent Software remotely. This includes installing updates of the Agent Software, checking and adjusting its configuration, and remedying malfunctions of the Agent Software that fall within the scope of support in section 7. Keldio decides which updates are installed, and when and how. Keldio is not obliged to install every update that becomes available and may postpone or skip an update that it considers unstable or unsuitable.
3.3 Support. Keldio provides support within the scope and limits of section 7.
3.4 Keldio Pro included. Your subscription includes a Keldio Pro Workspace for as long as the Enterprise Service runs. There is no separate charge for Keldio Pro and no trial period. Keldio Pro is governed by the Platform Terms. When the Enterprise Service ends, the included Keldio Pro access ends at the same time, unless you take out a separate Keldio plan. Section 25 of the Platform Terms applies to the export and deletion of your Workspace data.
3.5 What is not included. Unless Keldio has agreed otherwise in writing, the Enterprise Service does not include:
- the Machine itself, its hardware, peripherals, or operating-system licence, or repairs to them;
- the costs of AI Models, AI Providers, and other Third-Party Services (section 8);
- installation on more than one Machine, or moving the Agent Software to a new or replacement Machine;
- developing custom software, integrations, or automations beyond the standard configuration and connections described in section 3.1;
- training, coaching, or consultancy;
- on-site visits: the Enterprise Service is delivered remotely only;
- recovering data, restoring backups, removing malware, or repairing damage that is not caused by the Agent Software; and
- anything that is excluded from support in section 7.
Keldio may perform work outside the scope of the Enterprise Service at your request, at Keldio's then-applicable rates. Keldio will tell you in advance if work is chargeable.
4. Price and payment
4.1 Monthly fee. The Enterprise Service is a monthly subscription. The fee is EUR 397.00 per month excluding VAT (EUR 480.37 including 21% Dutch VAT), unless a different price is shown in your checkout and order confirmation. The fee is charged monthly in advance. The first month is charged at checkout. After that, Keldio's payment provider (Stripe) charges the fee automatically every month, using the payment method you provided at checkout, until the subscription ends (section 13).
4.2 Start of the subscription. Your subscription and your obligation to pay start on the date of your purchase, regardless of when the installation takes place.
4.3 VAT and invoices. VAT is charged at the rate that applies to your purchase. Where the reverse-charge mechanism applies to a business established in another EU Member State that provided a valid VAT number, Keldio charges no Dutch VAT and the amounts excluding VAT apply. You receive an invoice for each payment.
4.4 Failed or reversed payments. If a payment fails or is reversed, the amount remains due. Keldio may retry the payment and will send you a payment reminder. If a payment remains unpaid 14 days after the reminder, Keldio may suspend the Enterprise Service, including remote maintenance, support, and the included Keldio Pro access, until all overdue amounts have been paid, and may end the Enterprise Service under section 15. Keldio may also charge the statutory commercial interest (Article 6:119a of the Dutch Civil Code) on overdue amounts from the due date and reasonable extrajudicial collection costs, to the extent permitted by law.
4.5 Price changes. Keldio may change the monthly fee by giving at least 30 days' notice. If you do not agree with a price increase, you may cancel before the new price takes effect. In that case, the new price is not applied to you, and the subscription ends at the end of the last billing period at the current price.
5. Minimum system requirements for the Machine
The Machine must meet at least the following requirements for the entire duration of the subscription:
| Requirement | Minimum |
|---|---|
| Operating system | Microsoft Windows 11 (64-bit) or later, with a valid licence, in a version that still receives security updates from Microsoft, with all available updates installed |
| Processor | a 64-bit Intel or AMD (x64) processor with at least 4 cores; ARM-based Windows devices only if Keldio agrees in writing |
| Memory (RAM) | at least 8 GB; 16 GB is recommended |
| Storage | at least 30 GB of storage on an SSD (solid-state drive) for the Agent Software and its data, of which at least 10 GB must be free at all times |
| Internet connection | a stable, permanent broadband connection, preferably wired, of at least 20 Mbit/s download and 5 Mbit/s upload; mobile hotspots, metered connections, and public or guest networks are not suitable |
| Network | the outgoing internet connections that the Agent Software, the AI Models, and the remote-access tools need are not blocked by a firewall, proxy, VPN, router setting, or content filter |
| Availability | switched on, awake, and connected to power and the internet 24 hours a day, 7 days a week; sleep, hibernation, and automatic shut-down are disabled |
| Administrator access | a Windows user account with full administrator rights that is made available to Keldio (section 9) |
| Software | a current version of Google Chrome or Microsoft Edge, and active, up-to-date security software (Microsoft Defender is sufficient) that does not block the Agent Software or Keldio's remote access |
| Location | a safe, dry, and well-ventilated place, protected against theft, damage, and access by unauthorised persons |
Keldio strongly recommends a Machine that is used only for the Agent Software, an uninterruptible power supply (UPS), and a setting that switches the Machine on again automatically after a power failure. If you also use the Machine for other purposes or let other people use it, you do so at your own risk, and Keldio is not responsible for conflicts with other software, settings, or users.
Virtual machines, cloud servers, and computers with other operating systems are only supported if Keldio agrees in writing.
These are minimum requirements. They do not guarantee that the Agent Software performs well for every use. Keldio may change the requirements when this is needed because of updates of the Agent Software, the operating system, AI Models, or other Third-Party Services. Keldio will inform you of a change. You are responsible for meeting the changed requirements at your own cost, including by upgrading or replacing the Machine.
If the Machine does not meet these requirements, Keldio may refuse or postpone the installation, limit or suspend the Enterprise Service, or end it under section 15. Your payment obligations continue in the meantime.
6. Your responsibility for the Machine and its security
6.1 You remain responsible for the Machine. Keldio installs and maintains the Agent Software, but you remain fully responsible for the Machine. This includes its security, its working order, its hardware, power supply, and internet connection, its operating system and other software, keeping it up to date, and its physical location and protection.
6.2 What you must do. In particular, you must:
- install updates of the operating system and other software on the Machine on time, unless Keldio has told you that Keldio will do this;
- keep the Machine switched on and connected, and start or restart it when this is needed or when Keldio asks you to;
- protect the Machine, its user accounts and passwords, and your network against unauthorised access, malware, and other security risks;
- make and keep regular backups of the data on the Machine and in the accounts that you connect;
- not change, uninstall, move, or interfere with the Agent Software or its configuration without Keldio's consent, and not let third parties do so;
- inform Keldio without delay of changes that may affect the Enterprise Service, such as a new router, internet provider, location, user, or hardware; and
- inform Keldio immediately if you suspect that the Machine, its accounts, or the Agent Software have been compromised, lost, or stolen.
6.3 Security risks are yours. Keldio is not responsible or liable for security incidents, data breaches, malware, unauthorised access, data loss, or any other damage that results from the Machine, its operating system or other software, its network or internet connection, its physical environment, your accounts, passwords, or Third-Party Services, or from the Machine being exposed to the internet or to other people. You understand that connecting AI agent software to a computer, files, accounts, and online services always involves security risks, including the risk that the Agent Software is influenced by content it processes (for example, emails, websites, or documents) and performs unintended actions.
7. Support: scope and limits
7.1 How support works. Support is provided remotely, by email to info@keldio.com or through another channel that Keldio designates, on Dutch business days (Monday to Friday, excluding Dutch public holidays) between 09:00 and 17:00 Amsterdam time. Keldio handles support requests within a reasonable time. Keldio does not guarantee response times, resolution times, or that a problem can be solved.
7.2 What support covers. Support covers malfunctions of the Agent Software as installed and configured by Keldio, and questions about its use.
7.3 What support does not cover. Support does not cover, and Keldio is not responsible for, problems that are caused by or related to:
- the Machine not working properly, including hardware defects and problems with its operating system or other software;
- the Machine being switched off, asleep, or offline, or not being started or restarted when this is needed or requested;
- internet, network, or power problems on your side or at the location of the Machine, including your router, Wi-Fi, firewall, or internet provider;
- you not installing updates of the operating system or other software on the Machine, or not installing them on time;
- the Machine not meeting, or no longer meeting, the requirements in section 5;
- you or third parties impeding, restricting, or removing Keldio's remote access (section 9);
- changes made by you or third parties to the Machine, the Agent Software, its configuration, or connected accounts;
- AI Models, AI Providers, and other Third-Party Services, including their outages, usage limits, price changes, changes in functionality, and account suspensions;
- malware, hacking, unauthorised access, or other security incidents that are not caused by Keldio; and
- use of the Agent Software that is contrary to these Offer Terms, the Platform Terms, the Acceptable Use Policy, Keldio's instructions, or the law.
Keldio may help with such problems but is not obliged to. Keldio may charge such help at its then-applicable rates after telling you in advance.
7.4 No guarantees. Support is a best-efforts obligation. Keldio does not guarantee that a problem will be solved, that the Agent Software will work without interruption or errors, or that it will work as you intend.
8. AI models and other third-party costs
8.1 AI costs are yours. All costs of AI Models, computing power, and model usage are for your account and are not included in the price of the Enterprise Service. For the Agent Software to work, you need your own access to a capable AI Model. Keldio recommends the frontier models of OpenAI or Anthropic. Using them may require a paid subscription or paid usage with that AI Provider.
8.2 Your own account and agreement. You take out the account and any subscription with the AI Provider in your own name, under your own agreement with that AI Provider. You alone are responsible for that account and subscription, including paying for it on time, keeping it active, managing its usage limits and credits, keeping its login details secure, and complying with the AI Provider's terms and usage policies. Keldio is not a party to your agreement with the AI Provider.
8.3 Keldio only connects. Keldio only helps you to connect your AI Model account to the Agent Software. Keldio is not responsible or liable for the AI Models or the AI Provider, including their availability, performance, quality, accuracy, and outputs, their prices and price changes, usage limits, changes in functionality, or discontinuation, or the suspension or closure of your account. If your account with the AI Provider is unpaid, limited, suspended, or closed, and the Agent Software therefore does not work or works less well, this is your risk, and your payment obligations to Keldio continue.
8.4 Choice of AI Model. If you choose an AI Model that Keldio does not recommend, or that Keldio considers insufficiently capable, Keldio is not responsible for the results and may limit its support for that configuration.
8.5 Other third-party costs. Sections 8.1 to 8.3 apply equally to all other Third-Party Services that you use with the Agent Software, such as software licences, email and messaging accounts, phone numbers, domain names, and online tools.
9. Remote access and full control of the Machine
9.1 Full access for Keldio. To install and maintain the Agent Software properly, Keldio needs full access to the Machine. You therefore give Keldio, for the entire duration of the subscription, full remote administrator (root) access to and full control of the Machine. This includes the right, at Keldio's discretion and to the extent Keldio considers necessary for the Enterprise Service, to:
- install, run, configure, update, and remove software on the Machine, including the Agent Software and remote-access and remote-management tools of Keldio's choice;
- create, use, and manage user accounts, access keys, passwords, and permissions on the Machine;
- change the settings of the Machine, its operating system, and its software, and restart the Machine; and
- view, copy, use, change, move, and delete files, data, logs, and configuration on the Machine.
9.2 When Keldio accesses the Machine. Keldio may access the Machine at any time, also without prior notice, for installation, maintenance, updates, troubleshooting, and security measures. Keldio will try to avoid unnecessary disruption but is not obliged to schedule its work with you.
9.3 Do not impede access. Keldio can only deliver the Enterprise Service at the intended quality if you give Keldio full access and do not impede that access in any way. You must not block, restrict, disable, uninstall, bypass, or otherwise impede Keldio's remote access, for example by removing or disabling the remote-access tools, changing passwords or permissions that Keldio uses, changing firewall, router, VPN, or security-software settings, or keeping the Machine switched off or disconnected. You must not let third parties do so either.
9.4 If access is impeded. For as long as Keldio's access is impeded, Keldio's obligations under these Offer Terms are suspended, your payment obligations continue in full, and Keldio is not liable for any consequences, such as missed updates, malfunctions, or security risks. If access remains impeded after Keldio has asked you to restore it, Keldio may end the Enterprise Service under section 15.
9.5 Your authority to give access. You warrant that you are entitled to give Keldio this access and control, for example because you own the Machine or have the owner's permission, and that you have informed the people who use the Machine or whose data is on it. You indemnify Keldio against claims of third parties that relate to the access and control you have given Keldio.
9.6 Use of the access. Keldio uses the access only for the Enterprise Service and for the security of the Agent Software and Keldio's systems. Keldio may perform the Enterprise Service through its own staff, contractors it engages, and automated or AI-assisted tools.
9.7 Liability for the access. Keldio is not liable for damage resulting from its use of the remote access in accordance with these Offer Terms, such as the temporary unavailability of the Machine during maintenance or the loss of data that was not backed up.
9.8 After the subscription ends. When the subscription ends, Keldio stops the remote maintenance and may remove its remote access and the remote-management tools it installed. You must allow this, and you may also remove them yourself. Keldio may also remove or disable the connection between the Agent Software and Keldio. Any Agent Software that remains on the Machine after the subscription ends is no longer maintained or supported and is used entirely at your own risk.
10. Third-party software and no guarantees
10.1 Dependence on third parties. The Agent Software consists of and depends on software of third parties, including open-source software, and on the Machine's operating system, AI Models, and other Third-Party Services. Keldio does not control them. Their makers can change, restrict, or discontinue them at any time, including through updates. This can cause the Agent Software to stop working, or to work differently or less well.
10.2 Reasonable efforts only. Keldio makes reasonable efforts to keep the Agent Software working after such changes, but does not guarantee that this is possible or how long it takes. Keldio may replace components of the Agent Software, or change how the Enterprise Service is delivered, as long as its core purpose remains the same. If a change by a third party makes the Enterprise Service, or a material part of it, impossible or unreasonably burdensome to deliver, Keldio may end the Enterprise Service with one (1) month's notice.
10.3 No guarantees. All of Keldio's obligations under these Offer Terms are best-efforts obligations, not obligations of result. Keldio does not guarantee that the Agent Software, the Machine, AI Models, or Third-Party Services will be available, work without interruption or errors, be secure, or work as you intend, or that the Enterprise Service will achieve any particular result.
11. Use of the Agent Software and agent actions
11.1 You decide, and you are responsible. You decide what the Agent Software does, which accounts, files, and systems it may access, and which instructions it receives. You are responsible for all actions that the Agent Software performs on your instructions, with your accounts or credentials, or within the permissions that you have given, including sending messages, publishing content, making purchases or bookings, and changing or deleting files or data.
11.2 Check the results. AI Models can make mistakes, invent information, misunderstand instructions, and act differently than expected. You must check the outputs and actions of the Agent Software before relying on them, especially for important, legal, financial, medical, or customer-facing matters. Keldio does not check the outputs or actions of the Agent Software.
11.3 Lawful use. You must use the Agent Software lawfully and in accordance with the Platform Terms, the Acceptable Use Policy, and the terms of the Third-Party Services. You indemnify Keldio against claims of third parties that relate to your use of the Agent Software, the actions it performs, the data it processes, and your Third-Party Services.
12. Liability
12.1 What Keldio is not liable for. To the maximum extent permitted by law, Keldio is not liable for:
- security incidents, data breaches, malware, unauthorised access to or loss of data, and other risks that result from the Machine, its network or internet connection, its operating system or other software, its environment, or the Machine being exposed (section 6);
- outages, interruptions, delays, malfunctions, errors, or systems or agents that do not work, or do not work as intended, including as a result of updates, changes, or the discontinuation of third-party software, AI Models, or Third-Party Services;
- actions, omissions, and outputs of the Agent Software and AI Models, and decisions that you or others take on the basis of them (section 11);
- AI Models, AI Providers, and other Third-Party Services, and their costs (section 8);
- damage resulting from the use of the remote access in accordance with section 9; and
- indirect or consequential damage, including lost profits or revenue, missed savings, loss of data, reputational damage, business interruption, fines, and claims of third parties.
12.2 Maximum amount. If Keldio is nevertheless liable, Keldio's total liability in connection with the Enterprise Service is limited to the amount that you paid Keldio for the Enterprise Service, excluding VAT, in the three (3) months before the event that caused the damage. A series of connected events counts as one event. This limit applies in addition to section 28 of the Platform Terms; where the two differ, the lower limit applies.
12.3 Notice and expiry. Any right to compensation requires that you notify Keldio of the damage in writing within 30 days after you discovered it or could reasonably have discovered it, and that Keldio is given a reasonable opportunity to remedy the cause. Any claim against Keldio in connection with the Enterprise Service lapses 12 months after the moment you discovered or could reasonably have discovered the facts on which it is based.
12.4 What remains. The exclusions and limitations in these Offer Terms do not apply to the extent that damage is caused by intent or deliberate recklessness of Keldio's management, or to the extent that liability cannot be excluded or limited under mandatory law.
13. Term, cancellation, and notice period
13.1 No minimum term. The Enterprise Service runs for an indefinite period and renews every month. There is no minimum term beyond the notice period in section 13.2.
13.2 One month's notice. You can cancel the Enterprise Service at any time, with a notice period of one (1) month, by email to info@keldio.com or through your account settings where that option is available. The cancellation takes effect at the end of the monthly billing period that follows the billing period in which Keldio receives your cancellation. This means that after cancelling you pay one (1) more monthly fee, and never more than that.
13.3 Until the end. Until the cancellation takes effect, the Enterprise Service, the included Keldio Pro access, and your payment obligations continue as normal.
14. No refunds
Payments for the Enterprise Service are not refunded, except where Keldio has expressly agreed to a refund with you in writing or where mandatory law requires it. In particular, no refunds or credits are given for part of a month, for the notice period, for services you did not use, or for periods in which the Agent Software, the Machine, AI Models, or Third-Party Services did not work, or did not work as intended. A refund or credit that Keldio grants as a gesture of goodwill does not create an obligation in other cases.
15. Suspension and termination by Keldio
15.1 Suspension. Keldio may suspend the Enterprise Service, in whole or in part, without being liable and without a refund, if you do not pay on time (section 4.4), if you impede Keldio's access (section 9), if the Machine does not meet the requirements of section 5, if you breach these Offer Terms, the Platform Terms, or the Acceptable Use Policy, or if Keldio considers suspension necessary to prevent a security risk or damage. Your payment obligations continue during a suspension.
15.2 Termination with notice. Keldio may end the Enterprise Service at any time with one (1) month's notice, without giving reasons and without being liable for any damage.
15.3 Termination with immediate effect. Keldio may end the Enterprise Service with immediate effect, without being liable for any damage, if:
- a payment remains unpaid more than 14 days after a reminder;
- you breach these Offer Terms, the Platform Terms, or the Acceptable Use Policy and do not remedy the breach within a reasonable period after Keldio has notified you of it;
- Keldio's access remains impeded after Keldio has asked you to restore it;
- you use the Agent Software unlawfully or in a way that harms Keldio or third parties; or
- you are declared bankrupt, are granted a suspension of payments, or cease your business.
Amounts that have become due remain due and are not refunded.
16. Personal data on the Machine
Where Keldio, in performing the Enterprise Service, processes personal data on the Machine or in your accounts on your behalf, Keldio does so as your processor, and the DPA applies accordingly to that processing. You are the controller. You are responsible for having a valid legal basis for the processing of personal data by the Agent Software and for informing the people concerned. The Privacy Policy explains how Keldio processes personal data as a controller, such as your contact and billing details.
17. Force majeure
Keldio is not obliged to perform its obligations if it is prevented from doing so by force majeure. In addition to what the law and the Platform Terms provide, force majeure includes failures, changes, or the discontinuation of third-party software, AI Models, and other Third-Party Services; failures of the internet, telecommunications, or power; cyber attacks; government measures; and illness or unavailability of Keldio's staff or contractors. If force majeure lasts longer than 60 days, both you and Keldio may end the Enterprise Service in writing, without any obligation to pay compensation. Amounts that have become due remain due.
18. Changes to these Offer Terms
Keldio may change these Offer Terms. Keldio will inform you of a material change at least 30 days before it takes effect. If you do not agree with the change, you may cancel the Enterprise Service with effect from the date on which the change takes effect; otherwise, the changed Offer Terms apply to you from that date. A change that is required by law, for security reasons, or because of changes of Third-Party Services may take effect sooner.
19. If mandatory consumer law applies to you
If you nevertheless bought the Enterprise Service as a consumer (a natural person acting outside a trade, business, craft, or profession), mandatory consumer law applies. In particular, you may withdraw from the purchase within 14 days of the day of purchase without giving a reason, by sending a clear statement to info@keldio.com. If you asked Keldio to start the Enterprise Service, such as the installation, within that period, you owe a proportionate part of the price for the services already performed when you withdraw. Nothing in these Offer Terms limits rights that you have under mandatory consumer law.
20. Governing law, language, and contact
These Offer Terms are governed by Dutch law. Disputes are handled as set out in section 36 of the Platform Terms, without prejudice to the mandatory rights of consumers. These Offer Terms are available in English and Dutch. If the versions differ, the English version prevails to the extent permitted by applicable law.
Questions about the Enterprise Service, payments, or cancellation can be sent to info@keldio.com.
