100K A.I. Agents Programme — Offer Terms

These Offer Terms are the order-form schedule for the 100K A.I. Agents Programme (the "Programme"). They set out the price, the payment options, the bundled Keldio Pro subscription, and the rules on cancellation, refunds, and remaining installments. They apply together with the Keldio Platform Terms of Service (the "Platform Terms"), the Acceptable Use Policy, the Privacy Policy, and, where applicable, the Data Processing Agreement. If these Offer Terms conflict with the Platform Terms on the commercial terms of the Programme, these Offer Terms prevail. Capitalised terms not defined here have the meaning given in the Platform Terms.

The seller of the Programme is Keldio, the operator identified in section 1 of the Platform Terms. For this purchase, Keldio is the seller and merchant of record.

1. Who can buy the Programme

The Programme is offered to businesses and professionals who buy it for their business or profession. By completing the checkout, you confirm that you buy the Programme for your business or profession and that you are authorised to bind the business named at checkout. Section 8 explains the rights that apply if mandatory consumer law nevertheless applies to you.

2. What the Programme includes

The Programme consists of the elements listed in the checkout order summary at the time of your purchase:

1. the A.I. Agent course: the full online course of the Programme, delivered through the Keldio member portal;
2. the 100K A.I. Agent community: access to the Programme's online community; and
3. Keldio Pro for 90 days: a Keldio Pro Workspace with the first 90 days included in the Programme price (section 5).

Any additional element that Keldio promised in writing in the offer presented to you before your purchase also forms part of the Programme.

You receive access to the course and the community after your first payment has been received. Keldio sends the access details to the email address used at checkout.

3. Price and payment options

You choose one of two payment options at checkout:

The Keldio Pro subscription after the included 90 days is charged separately (section 5).

VAT is charged at the rate that applies to your purchase. Where the reverse-charge mechanism applies to a business established in another EU Member State that provided a valid VAT number, Keldio charges no Dutch VAT and the amounts excluding VAT apply. You receive an invoice for each payment.

If you bought the Programme through another checkout or payment option offered to you in writing (for example, a different number of installments or a promotional price), the price and payment schedule shown in that checkout and in your order confirmation apply, and all other terms in these Offer Terms apply equally.

4. The installment option

4.1 It is a payment arrangement, not a subscription. If you choose the installment option, you buy the whole Programme at the price in section 3 and Keldio lets you pay it in 6 parts. You owe the full Programme price from the moment of purchase. Stopping use of the Programme, leaving the community, or cancelling Keldio Pro does not end the obligation to pay the remaining installments, except as set out in sections 7 and 8.

4.2 Automatic collection. By paying the first installment, you authorise Keldio and its payment provider (Mollie) to collect the remaining installments automatically: by SEPA direct debit from the bank account used for the first payment if you paid by iDEAL or Bancontact, or by charging the same card if you paid by credit card. The schedule in section 3 and in your order confirmation serves as advance notice of each collection. You must keep sufficient funds in that account, or a valid card, available.

4.3 Failed or reversed payments. If an installment cannot be collected, or if you have a direct debit or card payment reversed, the amount remains due. Keldio may retry the collection and will send you a payment reminder. If an installment remains unpaid 14 days after the reminder, Keldio may:

• suspend your access to the course and the community until the overdue amount is paid; and
• give you written notice that the remaining unpaid balance of the Programme price is due immediately.

Keldio may also charge the statutory commercial interest (Article 6:119a of the Dutch Civil Code) on overdue amounts from the due date and reasonable extrajudicial collection costs, to the extent permitted by law. Your access is restored once all overdue amounts have been paid.

4.4 Early payment. You may pay the remaining balance early at any time without extra cost by contacting Keldio.

5. The bundled Keldio Pro subscription

5.1 90 days included. Your purchase includes a Keldio Pro Workspace. The first 90 days of Keldio Pro, counted from your purchase, are included in the Programme price.

5.2 After 90 days. After the 90 days, Keldio Pro continues as a monthly subscription at EUR 97.00 per month excluding VAT (EUR 117.37 including 21% Dutch VAT), unless you cancel it before the 90 days end. The subscription renews every month until you cancel. Keldio collects the subscription fee using the payment method you authorised at checkout, which may be SEPA direct debit.

5.3 Cancelling Keldio Pro. You can cancel Keldio Pro at any time by emailing info@keldio.com or through your account settings where that option is available. If you cancel before the 90 days end, you pay nothing for Keldio Pro. If you cancel later, the cancellation takes effect at the end of the current monthly period and stops future renewals; the current period is not refunded. Price changes for Keldio Pro follow section 4 of the Platform Terms, with at least 30 days' notice.

5.4 Separate from the Programme. Keldio Pro is governed by the Platform Terms. Cancelling Keldio Pro does not affect your access to the course and the community and does not cancel or reduce any remaining installments. Your access to the course and the community does not depend on keeping Keldio Pro.

6. Access period and use of the materials

6.1 Access period. You have access to the course and the community for at least 12 months from the date of your purchase and, after that, for as long as Keldio continues to offer the Programme. If Keldio stops offering the course or the community after that period, it will give you at least 30 days' notice and, where practical, a way to download the course materials you are entitled to.

6.2 Changes to the content. Keldio may update, reorder, or replace course material and community features to keep the Programme current, provided that the Programme as a whole remains substantially equivalent to what you bought.

6.3 Personal licence. You may use the course materials for your own business. You must not share your login, resell, publish, or distribute the materials, or give third parties access to the course or the community.

6.4 Community rules. The Acceptable Use Policy applies to the community. Keldio may remove content and may suspend or end access for serious or repeated breaches, such as harassment, spam, or sharing access. If Keldio ends your access for such a breach, you are not entitled to a refund, except where the law requires one.

6.5 No guaranteed results. The name "100K" and any examples, case studies, or figures in the Programme describe the subject of the Programme and the experience of others. They are not a promise that you will achieve any revenue, profit, number of clients, or other result. Your results depend on your own business, market, effort, and decisions.

7. Refunds and cancellation of the Programme

7.1 No right to cancel for convenience. Because the Programme is bought for business purposes, there is no statutory right of withdrawal. Once the purchase is completed, you cannot cancel the Programme for convenience, and payments for the Programme are not refunded, except as set out in this section 7, in section 8, or where Keldio agrees otherwise in writing.

7.2 If Keldio does not deliver. If Keldio does not make the course or the community available as described in section 2, you must notify Keldio in writing and give Keldio a reasonable period of at least 14 days to fix it. If Keldio does not fix it within that period, you may terminate the Programme by written notice. In that case, Keldio refunds the part of the payments that relates to the part of the Programme not delivered, and any installments that have not yet fallen due are cancelled.

7.3 Goodwill. A refund or payment arrangement that Keldio grants as a gesture of goodwill does not create an obligation in other cases.

8. If mandatory consumer law applies to you

If you nevertheless bought the Programme as a consumer (a natural person acting outside a trade, business, craft, or profession), mandatory consumer law applies. In particular, you may withdraw from the purchase within 14 days of the day of purchase without giving a reason, by sending a clear statement to info@keldio.com. If you withdraw in time, Keldio refunds all payments you made for the Programme within 14 days of receiving your statement, cancels any remaining installments, and ends the Keldio Pro subscription. Nothing in these Offer Terms limits rights that you have under mandatory consumer law.

9. Liability

Keldio's liability in connection with the Programme is limited as set out in section 28 of the Platform Terms, and in any event to the total amount you paid for the Programme, except for liability that cannot be limited by law.

10. Earlier purchases

These Offer Terms apply to purchases of the Programme made on or after 29 September 2026. For purchases made before that date, the terms presented at the time of purchase continue to apply. Keldio will not apply these Offer Terms to an earlier purchase to the buyer's disadvantage without the buyer's agreement.

11. Governing law, language, and contact

These Offer Terms are governed by Dutch law. Disputes are handled as set out in section 36 of the Platform Terms, without prejudice to the mandatory rights of consumers. These Offer Terms are available in English and Dutch. If the versions differ, the English version prevails to the extent permitted by applicable law.
